1. Introduction

These terms and conditions ("Terms") govern your use of the TudorVale website and any IT support, consulting, hosting, or related services ("Services") provided by TudorVale ("we", "us", "our"). By accessing our website or engaging our Services, you agree to be bound by these Terms.

2. Services

We provide IT support, gallery management systems, web and email hosting, technology consulting, and related services as described on our website. The specific scope, deliverables, and fees for any engagement will be agreed in writing between us and the client before work commences.

3. Client Obligations

When using our Services, you agree to:

  • Provide accurate and complete information necessary for us to deliver the Services.
  • Ensure you have the authority to grant us access to any systems, accounts, or data required to perform the Services.
  • Maintain appropriate backups of your data. While we take reasonable care, we are not responsible for data loss unless caused by our negligence.
  • Use our Services in compliance with all applicable laws and regulations.

4. Fees and Payment

Fees for our Services will be set out in a written quotation or service agreement. Unless otherwise agreed, invoices are payable within 30 days of the invoice date. We reserve the right to charge interest on overdue payments at the rate of 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Intellectual Property

All intellectual property rights in our website content, branding, and proprietary tools remain our property. Where we create bespoke work for a client, ownership of that work will be as agreed in the relevant service agreement. Unless otherwise agreed, we retain the right to use general knowledge, skills, and experience acquired during the provision of Services.

6. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except where necessary to deliver the Services, where required by law, or with your prior written consent. This obligation survives termination of any service agreement.

7. Limitation of Liability

To the fullest extent permitted by law, our total liability arising from or in connection with the Services shall not exceed the fees paid by you for the specific Services giving rise to the claim in the 12 months preceding the event. We shall not be liable for any indirect, consequential, or special losses, including but not limited to loss of profit, revenue, data, or business opportunity.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

8. Termination

Either party may terminate a service agreement by giving 30 days' written notice, unless otherwise specified in the agreement. We may terminate immediately if you breach these Terms and fail to remedy the breach within 14 days of written notice. Upon termination, you shall pay for all Services provided up to the date of termination.

9. Force Majeure

We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of government, power failures, internet outages, or cyber attacks.

10. Website Use

You may use our website for lawful purposes only. You must not use our website in any way that causes, or may cause, damage to the website or impairment of its availability or accessibility, or in any way that is unlawful, illegal, fraudulent, or harmful.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may revise these Terms at any time by updating this page. You are expected to check this page periodically to take notice of any changes, as they are binding on you. Continued use of our website or Services after changes are posted constitutes acceptance of the revised Terms.
